Terms and Conditions

SongSyntax Orchestral 500 is a specialist edition of the SongSyntax Series. These Terms are a legal agreement between you and Simon Watson.

Protecting SongSyntax

SongSyntax Orchestral 500 is designed to help individual creators develop prompts and make music. You may copy an individual SongSyntax output into a music-generation platform, modify it, and use the resulting piece in your own creative or commercial work.

You may not use SongSyntax, its questions, selection flow, prompt structures, interactions, research logs, or outputs to discover or recreate how SongSyntax works, or to build, train, test, benchmark, improve, or support another prompt generator, GPT, application, workflow, template library, course, dataset, or similar tool.

Any violation of this prohibition will result in immediate termination of your account and access to SongSyntax, and is subject to legal action. This prohibition includes systematic testing, collecting or comparing outputs, automated extraction, scraping, and providing SongSyntax materials or outputs to an AI system or third party for reconstruction or product development.

SongSyntax is an independent product owned by Simon Watson. Access and use are subject to the full Terms and Conditions below.

1. Your Responsibility for Outputs and Copyright

Outputs are text prompts only. SongSyntax Orchestral 500 does not create, record, distribute, or publish music. You decide whether and how to use an Output, including whether to paste it into a third-party AI music generator or any other tool.

You are solely responsible for any infringement of copyright, trademark, trade dress, moral rights, rights of publicity, or any other right arising from your subsequent use of any prompt, piece of music, recording, artwork, text, or other work created wholly or partly from a SongSyntax Orchestral 500 text prompt.

This includes any use you make of material produced by a third-party AI service from a SongSyntax Orchestral 500 prompt, and any commercial release, distribution, monetisation, or public performance of that material.

We make no representation or warranty that an Output, or any piece of music or other work you create from it, is original, non-infringing, cleared for any use, or capable of protection. Nothing in the Service is legal advice. You are responsible for obtaining your own advice and clearances where required.

You must not attempt to imitate, evoke, replicate, or reference any named artist, band, group, producer, or existing recording. Artist and band names cannot be used with the Service. Classical composers who died at least 71 years ago are permitted as a stylistic lens, which is how the composer question in Orchestral 500 is intended to be used.

You agree to indemnify and hold harmless Simon Watson against any claim, demand, loss, liability, cost, or expense (including reasonable legal fees) arising from or relating to your use of Outputs or any work derived from them.

2. Acceptance and Definitions

SongSyntax Orchestral 500 is operated by Simon Watson (“we”, “us”, or “our”). SongSyntax, SongSyntax 101, and SongSyntax Orchestral 500 are products owned by Simon Watson.

By creating an account, indicating your agreement, purchasing a membership, or using the Service, you agree to these Terms. If you do not agree, do not create an account, purchase a membership, or use the Service.

  • “Service” means SongSyntax Orchestral 500 and its associated website, application, features, interfaces, and services.
  • “Service Materials” means the Service and its software, interfaces, questions, option sets, prompt structures, system instructions, selection logic, decision rules, period taxonomies, era tables, exclusion lists, research methodology, validation rules, documentation, visual presentation, compilations, and other underlying or supporting materials.
  • “Output” means a prompt or other result generated for a user through authorized use of the Service, including the Lyrics, Style, Exclusions and Title blocks and the Research and Variance Log.

3. Eligibility and Permitted Use

Memberships are sold for personal, individual use only. One account may be used by one person. You must be of legal age to enter into a binding contract in your jurisdiction.

You may not purchase, register, or use an account:

  • on behalf of a company, business, or other commercial organization for team or shared use;
  • on behalf of a school, university, class, conservatoire, or other educational institution for group use;
  • on behalf of a government body, nonprofit, orchestra, ensemble, or other organization for shared use; or
  • for sharing between multiple people.

An individual creator may use Outputs to create, modify, release, and monetize their own music and other creative works. Commercial release of a piece created using an Output does not, by itself, constitute prohibited organizational use.

This permission does not allow you to provide access to the Service to another person, operate the Service for an organization, integrate the Service into another product, course, membership, program, or service, or make the Service or its functionality available to customers, members, students, employees, or other third parties.

We may suspend or terminate accounts that appear to be shared, used by an organization, or otherwise used contrary to these Terms. All sales are final; no refunds will be issued following suspension or termination except where expressly required by applicable law.

If you are interested in team, classroom, organizational, affiliate, or integration licensing, please contact us. These uses are not offered through standard memberships. A separate written agreement signed by Simon Watson may authorize uses that would otherwise be prohibited by this section.

4. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
  • You must provide accurate information and keep it up to date.
  • You must promptly notify us if you believe your account has been accessed or used without authorization.
  • You may not transfer, sell, lend, sublicense, or share your account or credentials.

5. Misuse, Copying, and Reverse Engineering

You may use the Service and individual Outputs for their intended creative purpose, including copying an Output into a music-generation platform to create a piece of music.

You may not, directly or indirectly, whether manually, through artificial intelligence, through automated systems, or through another person or organization:

  • reverse engineer, decompile, disassemble, decode, translate, probe, test, inspect, or otherwise attempt to discover or derive the design, structure, source code, system prompts, instructions, logic, rules, methodology, workflow, question flow, selection process, taxonomy, data structure, or internal operation of the Service;
  • systematically submit inputs, repeat queries, vary selections, collect Outputs, or compare interactions or Outputs for the purpose of inferring how the Service works;
  • provide Service Materials, interactions, screenshots, Outputs, or collections of Outputs to ChatGPT or another AI system for the purpose of discovering, reconstructing, reproducing, approximating, or simulating any part of the Service;
  • use the Service, Service Materials, or Outputs to create, train, improve, test, benchmark, evaluate, validate, or support a GPT, prompt generator, template system, software application, workflow, course, reference library, dataset, training product, or other tool that performs the same or a substantially similar function;
  • copy, reproduce, adapt, publish, distribute, sell, license, or compile Service Materials or collections of Outputs as prompts, templates, instructional materials, datasets, reference materials, or components of another product or service;
  • scrape, crawl, harvest, record, extract, or access the Service through automated means except where expressly authorized by us in writing;
  • circumvent usage limits, security controls, access restrictions, account controls, or other technical protections;
  • resell, sublicense, redistribute, embed, frame, white-label, or represent the Service as part of another product, membership, course, program, or service; or
  • use the Service for fraud, spam, abuse, infringement, malware, unauthorized access, unlawful purposes, or interference with the Service’s security or availability.

These restrictions apply to private, internal, educational, experimental, nonprofit, and commercial tools as well as publicly released products.

Nothing in this section prevents a person from independently developing material relating to AI music or prompt creation without using the Service, Service Materials, Outputs, or Simon Watson’s nonpublic information as a source. Similar subject matter alone is not prohibited; the prohibited conduct is using SongSyntax, its interactions, Service Materials, or Outputs to derive, recreate, develop, test, improve, or support another system or product.

6. Intellectual Property and Proprietary Information

Simon Watson retains all right, title, and interest in SongSyntax, SongSyntax 101, SongSyntax Orchestral 500, the Service, and the Service Materials, including all applicable copyright, trademark, trade-secret, contractual, and other proprietary rights.

To the extent protected by applicable law, this includes the SongSyntax name and branding, software, interfaces, written materials, documentation, curated historical content, era tables, taxonomies, prompt structures, question flows, selection architecture, output formats, frameworks, processes, confidential information, and associated know-how. The Service Materials include both materials visible to users and nonpublic elements underlying the Service.

Access to the Service does not transfer ownership of, or grant a license to reproduce, adapt, disclose, discover, incorporate, or commercialize, the Service Materials except as expressly permitted by these Terms. We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Service during your authorized membership solely in accordance with these Terms.

The restrictions in these Terms are express contractual conditions of access and use. They apply whether or not every individual idea, method, function, process, prompt, or Output would independently qualify for copyright, trade-secret, or other statutory protection.

“SongSyntax”, “SongSyntax 101”, “SongSyntax Orchestral 500”, associated logos, and related branding may not be used in a manner suggesting ownership, affiliation, endorsement, sponsorship, integration, or partnership without our prior written permission.

7. Permitted Use of Outputs

Subject to these Terms, you may save, copy, modify, and use an individual Output for your own creative project, including:

  • copying it into a music-generation platform;
  • modifying it for your own creative purposes;
  • creating music or other creative works from it; and
  • releasing and monetizing the resulting works.

You may accurately describe or review your experience with SongSyntax. Any public description must distinguish between what SongSyntax supplied or supported, what you added through your own creative direction, and what was produced by another AI platform or service.

An individual Output may be displayed incidentally as part of an honest review, demonstration, or explanation of your creative process. This does not permit publication or distribution of Outputs as a reusable prompt collection or substitute for the Service.

You may not sell, license, publish, distribute, or compile Outputs as a prompt pack, template library, dataset, training resource, generator, application, membership benefit, or component of another product or service.

Permission to use an Output for creative production does not include permission to analyze that Output for the purpose of reverse engineering SongSyntax or developing, training, testing, or improving another tool.

You retain any rights you may have in your original human-authored inputs and contributions. Simon Watson does not claim ownership of the music or other creative works you create through authorized use of an Output. We do not warrant that an AI-assisted Output is unique, copyrightable, non-infringing, or capable of exclusive ownership.

8. AI-Generated Content and Historical Research

The Service uses artificial intelligence to help you craft prompts for music generators. Outputs are generated by AI and may be inaccurate, incomplete, unsuitable for a particular purpose, or similar to material produced for another user.

Historical material — periods, forms, instrumentation, tuning references, performance practice, and the Research and Variance Log — is provided for creative guidance. It is researched but not peer-reviewed, and it is not a scholarly or musicological authority. The log distinguishes documented, inferred, conventional and creative material so you can judge it for yourself.

You are responsible for the information you provide as input, having the necessary rights and permissions for that input, reviewing and editing Outputs before use, and deciding whether an Output is suitable for you. The Service does not provide legal advice or determine whether an Output or resulting work qualifies for intellectual-property protection.

9. Payments, Billing, and Refunds

Payments for the Service are processed by our third-party payment processor. Simon Watson is the seller of record for all orders.

Free accounts include a limited monthly allowance of generations. Credit packs are one-time purchases of additional generations. Pro is a recurring subscription with a monthly generation allowance and a daily cap, which exists to encourage intentional creation and keep the Service sustainable.

Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from your account; access continues until the end of the current billing period. Applicable sales tax or VAT is calculated and collected at checkout where required.

All sales are final. You can cancel your subscription at any time to stop future renewals, but no refunds will be issued for current or prior billing periods. Card details are handled solely by the payment processor; we never receive or store your full card information.

10. Service Availability

The Service is provided “as is” and “as available”. We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

We may modify, update, suspend, discontinue, or impose limits on all or part of the Service when reasonably necessary for maintenance, security, legal compliance, product development, or business operations. We do not guarantee that a particular feature, workflow, Output format, period, model, or AI capability will remain available.

11. Suspension and Termination

We may suspend, restrict, or terminate your access for:

  • material breach of these Terms;
  • non-payment;
  • account sharing or unauthorized organizational use;
  • fraud, abuse, or security risk;
  • unlawful activity or repeated policy violations;
  • prohibited copying or systematic Output collection;
  • reverse engineering or attempted reverse engineering;
  • development of a derivative, substitute, or competing tool; or
  • unauthorized integration into another product, course, membership, program, or service.

Upon termination, your right to access and use the Service ends immediately. Termination does not require you to withdraw music or other creative works created through prior authorized use of individual Outputs.

Provisions concerning ownership, copying, reverse engineering, derivative tools, confidential information, Output restrictions, disclaimers, governing law, and remedies survive termination. We may retain account and usage records we lawfully maintain where reasonably necessary to investigate suspected misuse, enforce these Terms, comply with legal obligations, resolve disputes, or protect the Service and its users.

12. Changes to These Terms

We may update these Terms from time to time. The date of the current version appears at the top of this page.

For a material change affecting ownership, permitted use, payments, dispute terms, copying, reverse engineering, or use of Outputs, we may require you to affirmatively accept the revised Terms before continuing to use the Service. Your continued use after the effective date constitutes agreement to the revised Terms.

Changes do not retroactively authorize conduct prohibited under an earlier version of the Terms.

13. Enforcement and Remedies

Prohibited copying, systematic testing, reverse engineering, unauthorized disclosure, misuse of confidential information, or development of a derivative or competing tool may cause harm that cannot be adequately remedied solely by monetary damages.

To the extent permitted by applicable law, Simon Watson may seek injunctive or other equitable relief in addition to account suspension, termination, damages, and any other available legal remedies. Failure to enforce a provision on one occasion does not waive our right to enforce it later.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules.

Nothing in these Terms removes any consumer right that cannot lawfully be waived under the laws applicable to you.

15. Entire Agreement and General Provisions

These Terms and any separate written agreement signed by Simon Watson constitute the agreement governing your use and purchase of the Service. A separately signed agreement may modify these Terms only for the parties, products, and uses expressly identified in that agreement.

If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect.

You may not assign or transfer your account, membership, or rights under these Terms without Simon Watson’s prior written consent. No partnership, joint venture, agency, employment, franchise, or exclusivity relationship is created by your use of the Service, and you are not authorized to make commitments or statements on behalf of Simon Watson or SongSyntax.
